Project Identification

Scope of Work

The Service Provider will perform the following services for the Project as described below. Services shall be performed in a professional manner consistent with industry standards. Any work outside the stated scope will require a change order in accordance with the Change Order Process section.

Each deliverable must be accepted in writing by the Client according to the acceptance criteria listed. Acceptance occurs when the Client signs the delivery acceptance form or provides written confirmation that the deliverable meets the stated criteria.

Budget & Payment

The total price quoted below covers labor, project management, and identified deliverables only. Any travel, third-party fees, or additional services not expressly listed will be invoiced separately or addressed through a change order.

Invoices are due within the payment terms stated above. Late payments shall accrue interest at a rate of 1.5% per month on overdue amounts or the maximum lawful rate if lower. Service Provider reserves the right to suspend services for nonpayment after providing ten (10) days' written notice.

Change Order Process

All requests for changes to scope, schedule, or budget shall be documented in a written change order describing the proposed change, estimated impact to cost and schedule, and required approvals. No work outside the agreed scope shall commence without a fully executed change order. Rates for additional work will be invoiced at the agreed hourly or fixed rates specified below unless otherwise negotiated.

Confidentiality & Data Handling

Each party will maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information shall not be used except to perform obligations under this Quote. Confidential information does not include information that is or becomes publicly available through no breach of this instrument, was already known by the receiving party, or is received from a third party without breach of an obligation of confidentiality.

Insurance; Limitation of Liability

The Service Provider will maintain commercial general liability and professional liability insurance in amounts customary for the industry. Except for liability arising from gross negligence or willful misconduct, each party’s aggregate liability under this Quote shall be limited to direct damages not to exceed the total fees paid under this Quote. Neither party shall be liable for consequential, incidental, or punitive damages.

Validity & Governing Law

This Quote is valid only if signed by authorized representatives of both parties and expires on the Valid Until date below. This Quote shall be governed by and construed in accordance with the laws of the chosen governing jurisdiction without regard to its conflict of law rules.

The undersigned Client accepts this Quote and authorizes the Service Provider to proceed with the services under the terms set forth herein. Acceptance of this Quote forms a binding agreement between the parties for the scope and fees set forth above.
