Confidentiality

Each party shall treat all information disclosed by the other party in connection with this Renewal Proposal that is identified as confidential or that reasonably should be understood to be confidential as confidential information. Confidential information shall not be used except to perform rights and obligations under this Proposal and shall not be disclosed to any third party except as expressly permitted in writing or as required by law.

Warranties, Liability & Acceptance

Provider warrants that services will be performed in a professional manner consistent with industry standards. Client's sole and exclusive remedy for breach of this warranty shall be re-performance of deficient services at Provider's expense. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Total aggregate liability shall not exceed the fees paid to Provider under this Renewal Proposal for the renewal term.

Acceptance of deliverables shall occur as set forth in the Acceptance Criteria for each deliverable. Client shall provide written acceptance or a detailed rejection citing specific deviations within 10 business days of delivery; failure to provide timely notice constitutes acceptance.

Governing Law & Termination

This Renewal Proposal shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties. Either party may terminate this renewal for material breach upon thirty (30) days' written notice if the breach remains uncured at the expiration of such period. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.
