Budget, Fees and Payment

All amounts are payable in United States dollars and exclusive of applicable taxes unless otherwise stated. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

Change Order Process

Any modification to scope, schedule, deliverables, or fees must be documented in a written change order signed by authorized representatives of both parties prior to the commencement of the changed work. Change orders shall state the reason, impact on schedule, and fee adjustment.

Equipment & Resource Rental (If Applicable)

If the Service Provider supplies equipment or temporary staff as part of this Contract, such rental terms, rates, responsibilities for maintenance, loss or damage, and return conditions shall be set forth here and in any attached schedule. Unless otherwise agreed, Client is responsible for loss or damage to rented equipment while in Client custody.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. Confidential information shall not be used except to perform under this Contract. The obligations set forth in this clause survive termination for a period of three (3) years, or longer to the extent required by applicable law.

Liability, Insurance and Indemnity

The Service Provider shall maintain insurance coverage customary for the scope and scale of the services, including commercial general liability and professional liability. Each party indemnifies the other against claims arising from its gross negligence or willful misconduct. Neither party's aggregate liability shall exceed the total fees paid under this Contract, except for liabilities arising from willful misconduct, fraud, or breach of confidentiality.

Termination

Either party may terminate this Contract for convenience upon written notice to the other party given at least Notice Period (days) below. Termination for material breach is effective upon failure to cure within the Cure Period described below after written notice.

Notices

All notices required or permitted under this Contract shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this clause.

Governing Law and Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the Governing State below, without regard to conflict of laws principles. Parties shall attempt to resolve disputes in good faith; unresolved disputes may be submitted to arbitration or litigation as set forth in this clause.

Miscellaneous Provisions

This Contract constitutes the entire agreement between the parties and supersedes prior negotiations and agreements. No waiver of any provision is effective unless in writing and signed by the waiving party. If any provision is held invalid, the remaining provisions remain in full force and effect.
