Budget and Payment

Invoices will be delivered to the Client and are due within days of invoice date unless otherwise agreed in writing.

Change Order Procedure

Any change to scope, schedule, or cost must be documented in a written Change Order signed by authorized representatives of both parties. The Change Order must state the change, impact on schedule, and any adjustment to compensation. Work performed without an approved Change Order is outside the Provider's obligation for compensation under this Agreement.

Confidentiality and Data Protection

Each party will protect Confidential Information disclosed by the other party using at least the same degree of care it uses to protect its own confidential information, but never less than reasonable care. Confidential Information may only be used to perform obligations under this Agreement.

Intellectual Property

Subject to Client's payment of all amounts due, the Service Provider grants the Client a non-exclusive, worldwide right to use and reproduce Deliverables for Client's internal purposes. Pre-existing tools, methodologies, templates, and provider-owned background intellectual property remain the exclusive property of the Service Provider unless otherwise assigned in writing.

Assignment of rights to final deliverables: Assign all rights to Client Grant license to Client

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period below. Upon termination the Client will pay the Provider for work performed and accepted to the termination date.

Warranties and Limitation of Liability

The Service Provider warrants that services will be performed with reasonable skill and care in accordance with professional standards. EXCEPT FOR THE FOREGOING, SERVICES ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES. LIABILITY FOR DIRECT DAMAGES is limited to the total fees paid under this Agreement in the twelve months preceding the claim. Neither party will be liable for consequential, incidental, or punitive damages.

Governing Law and Dispute Resolution

This Agreement will be governed by the laws of the state specified below without regard to conflict of laws principles. The parties agree to attempt resolution by negotiation and, if unsuccessful, by mediation prior to pursuing formal litigation.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses provided above. Notice is effective upon receipt.

General Provisions

Entire Agreement: This instrument constitutes the entire agreement between the parties and supersedes prior agreements and understandings regarding its subject matter. Amendments must be in writing signed by authorized representatives of both parties.

Severability: If any provision is held unenforceable, the remainder of the Agreement remains in effect.
