What the Project Management Resolution Form Is

Project Management Resolution Form is a formal corporate record used to authorize, document, and assign responsibility for a specific project or initiative. It typically records project scope, approved budget, designated project manager, authority limits, reporting requirements, and the effective date of authorization. Organizations use this resolution to create an auditable decision trail for governance, procurement, and financial control. The form is often adopted by a board, steering committee, or authorized executive and retained with corporate records. When completed accurately, it clarifies authority, reduces disputes, and supports regulatory and audit reviews.

Why organizations adopt a Project Management Resolution

A Project Management Resolution Form documents formal authorization, clarifies responsibilities, and establishes budgetary and approval limits. It creates an auditable record for governance, reduces operational disputes, and helps compliance with internal controls and external audits.

Why organizations adopt a Project Management Resolution

Who typically completes or signs this resolution

Common users include corporate officers, project managers, board members, and procurement teams responsible for authorizing major initiatives.

  • Board and directors — Adopt resolutions to grant authority and confirm funding limits.
  • Project Management Office (PMO) — Prepares charter details, schedules, and reporting requirements.
  • Finance and procurement — Verifies budget, funding source, and vendor authorization before commitments.

The form aligns stakeholders, provides a single reference for decisions, and serves as evidence during audits or contract disputes.

Core components to include for clarity and enforceability

A professional Project Management Resolution Form includes clear authorization language, defined scope, financial limits, timelines, designated signatories, and references to supporting exhibits or approvals.

Authorization Clause

Specify the authority being granted, including decision rights, spending limits, delegated approval thresholds, and duration. Cite applicable corporate bylaws or delegation policies to demonstrate lawful authority and compliance.

Scope

Define objectives, deliverables, milestones, acceptance criteria, and exclusions. Attach statements of work or charters as exhibits to prevent ambiguity and support downstream contracting.

Budget

Record approved funding as an exact dollar amount, identify contingency reserves, and specify funding source, release triggers, and spending caps tied to approval thresholds.

Responsibilities

Name the project manager, steering committee members, and primary stakeholders. Describe reporting cadence, required deliverables, and escalation paths for scope or budget changes.

Approvals

Document voting results, date of authorization, quorum confirmation, and any dissenting votes. Note whether written consent or board minutes support the resolution.

Exhibits

Attach relevant exhibits such as project schedules, risk registers, vendor quotes, or procurement approvals to provide context and evidentiary support for the resolution.

Tax Consequences: Incorrect reporting or withholding

Common mistakes to avoid when preparing the form

  • Using vague scope or budget language that allows different interpretations during procurement or execution, increasing dispute risk.
  • Failing to match signer names to corporate records or identification, which can complicate attribution and legal enforcement.
  • Not attaching referenced exhibits such as contracts or schedules, leaving the resolution unsupported and unclear in enforcement.
  • Skipping required approvals or not recording votes and quorum information, which can render the resolution invalid under bylaws.
