Recitals

WHEREAS, Client desires to retain Service Provider to perform project management and related services described below on a retainer basis; and WHEREAS, Service Provider is willing to provide such services in accordance with the terms and conditions set forth herein. The parties agree as follows.

Confidentiality

Each party shall hold in confidence and not disclose to any third party Confidential Information received from the other party, and shall use such Confidential Information only to perform its obligations under this Agreement. Confidential Information does not include information that is publicly known without breach of this Agreement, independently developed, or rightfully received from a third party.

Intellectual Property

Unless otherwise agreed in writing, all pre-existing intellectual property of each party remains that party's sole property. Work product created specifically for Client under this Agreement shall be owned by subject to payment in full. Service Provider retains the right to use general knowledge and methodologies developed during performance.

Liability, Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising from its gross negligence or willful misconduct. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability shall exceed the total fees paid to Service Provider under this Agreement for the applicable twelve (12) month period. Service Provider shall maintain commercially reasonable professional liability insurance.

Termination

This Agreement may be terminated by either party upon thirty (30) calendar days' written notice. Upon termination Client shall pay for all services performed and expenses reasonably incurred through the effective date of termination. Service Provider shall deliver any work in progress and Client shall accept deliverables in accordance with the Acceptance provisions.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties agree to attempt good faith resolution of disputes through negotiation, and if unresolved, through binding arbitration conducted in the governing state unless otherwise agreed.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, courier, or certified mail, return receipt requested, or by mutual written agreement of the parties.
