In the event Client seeks to return deliverables or physical materials, Client must provide written notice describing deficiencies. Returns are permitted only where nonconformity to agreed acceptance criteria is demonstrated and only within days of final delivery acceptance. Returned physical materials must be packaged and shipped in original condition unless otherwise agreed.

Service Provider warrants that services will be performed in a professional manner and that deliverables will substantially conform to the agreed specifications for a period of days following acceptance. Except as expressly stated, all other warranties are disclaimed.

Neither party shall be liable for indirect, special, incidental, punitive, or consequential damages. Aggregate liability for direct damages shall not exceed the total fees paid by Client to Service Provider under this agreement for the applicable project.

Termination & Force Majeure

Either party may terminate for material breach if the breach is not cured within days after written notice. Upon termination, Client shall pay for work performed and accepted deliverables through the termination date.

Neither party shall be liable for delays or failures due to causes beyond reasonable control, including natural disaster, acts of government, or labor disputes. The affected party shall provide prompt notice and take reasonable steps to mitigate impact.

Notices

All notices required under this agreement shall be in writing and delivered to the addresses set forth below. Notice is effective upon personal delivery, courier receipt, or three business days after deposit with a nationally recognized postal carrier.
