Either party may terminate this procurement process or any resulting agreement for material breach not cured within the notice period specified above, or for convenience upon provision of the stated notice. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

All proposal materials, proprietary methodologies, and nonpublic information exchanged in connection with the RFP shall be treated as Confidential Information. Recipients shall restrict disclosure and use to evaluation and negotiation of the RFP, and shall implement reasonable safeguards consistent with industry standards. Confidentiality obligations survive termination of this Agreement for a period of three (3) years unless otherwise agreed in writing.

GOVERNING LAW

This Agreement and any resulting contract shall be governed by and construed in accordance with the laws of the state whose jurisdiction is selected by the Issuing Organization. Parties submit to the exclusive jurisdiction of the courts of that state for disputes arising out of this Agreement.

ENTIRE AGREEMENT

This document, together with any attached RFP appendices and referenced documents incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.
