Inspection and Acceptance: The Client shall inspect completed deliverables within five (5) business days of notice of completion. Acceptance occurs when the Client issues written acceptance or fails to provide written objection detailing nonconformities within that period. The Provider shall correct any defects discovered during inspection at no additional cost when such defects result from non-compliant workmanship or materials supplied by the Provider.

Risk Allocation & Legal Terms

Indemnification: The Provider shall indemnify and hold the Client harmless from claims, damages, and liabilities arising from the Provider’s negligent acts, omissions, or willful misconduct in performance of the Work, except to the extent caused by the Client’s negligence.

Limitation of Liability: Except for liability resulting from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, punitive, or special damages. The aggregate liability of the Provider for direct damages shall not exceed the total contract price paid under this Proposal.

Acceptance

By signing below, the parties acknowledge that they have read, understand, and agree to the terms and conditions set forth in this Proposal. Execution of this Proposal authorizes the Provider to proceed with the work upon receipt of any required deposit described in the Payment Schedule.
