Warranty: The Service Provider warrants that materials and workmanship provided under this Proposal shall be free from defects for the warranty period specified below. This warranty does not cover damage due to misuse, acts of God, or modifications not performed by the Service Provider.

Liens and Claims: The Service Provider agrees to pay all subcontractors, laborers and suppliers and to keep the property free from any liens arising out of the Service Provider's performance. The Client shall promptly notify the Service Provider of any lien claim and allow the Service Provider to cure or bond against such claim as permitted by law.

Indemnity: Each party shall indemnify and hold harmless the other from claims arising from the indemnifying party's negligence or willful misconduct in performance of this Proposal, subject to applicable law and the limitations set forth in the parties' written agreement.

Termination

Either party may terminate this Proposal for material breach if the breaching party fails to cure within fourteen (14) days after written notice. Upon termination by the Client for convenience, the Client shall pay the Service Provider for all work performed, materials purchased, demobilization costs, and reasonable markup for work in progress.

Dispute Resolution & Governing Law

Dispute Resolution: The parties shall seek in good faith to resolve disputes by negotiation. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration administered in accordance with the parties' agreement. Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect property or safety.

Acceptance of Proposal

By signing below, the Client accepts this Proposal and authorizes the Service Provider to proceed with the work as described. Acceptance of this Proposal constitutes a contractual obligation to perform and pay in accordance with the terms set forth herein. Any modifications must be documented in a written and signed change order.
