Insurance, Permits & Compliance

Provider shall maintain insurance coverage customary for roofing contractors, including workers' compensation, commercial general liability and automobile liability, and shall provide certificates of insurance upon request. Provider is responsible for obtaining and paying for required permits unless otherwise noted below.

Warranties & Remedies

Provider warrants that materials and workmanship furnished under this proposal shall be free from defects for a period indicated below, subject to ordinary wear and conditions described in the manufacturer's warranty. Remedy for breach of this warranty shall be limited to repair or replacement of defective work at Provider's expense, unless otherwise agreed in writing.

Safety, Access & Site Conditions

Provider shall maintain site safety consistent with industry standards. Client shall provide reasonable access to the Site and disclose any known conditions that may affect work. Additional costs resulting from unforeseen site conditions will be processed as change orders.

Limitation of Liability

Except for willful misconduct or gross negligence, the total liability of Provider for claims arising out of or related to the performance of the work shall not exceed the total amount paid to Provider under this Proposal. In no event shall Provider be liable for consequential, incidental, special or punitive damages.

Confidentiality

Each party shall treat all commercial and technical information exchanged in connection with this Proposal as confidential and shall not disclose such information to third parties except as required by law or necessary for performance of the work. Confidential information shall not include information already in the public domain.

Termination

Either party may terminate this Proposal for material breach by the other party upon providing seven (7) days' written notice of breach and an opportunity to cure. Upon termination, Client shall pay Provider for all work performed and materials procured to date, plus reasonable demobilization costs.

Governing Law

This Proposal and any resulting contract shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

By signing below, Client accepts this Proposal and authorizes Provider to proceed with the work as described herein, subject to the terms and conditions set forth in this document. Acceptance includes authorization to order materials and schedule work consistent with the timeline above.
