Confidentiality

Each party shall hold confidential and not disclose to third parties any proprietary information received in connection with the performance of this Agreement, except as required by law. Confidential information does not include information already in the public domain or independently developed without use of the other's confidential information.

Indemnification & Liability

Service Provider agrees to indemnify and hold harmless Client from claims, damages, losses and expenses arising out of Provider's negligent performance of the work, except to the extent caused by Client's negligence or willful misconduct. Neither party shall be liable for consequential or punitive damages except to the extent of gross negligence or willful misconduct.

Termination

Either party may terminate this Agreement for material breach if the breach remains uncured for the number of days specified below after written notice. Termination shall not relieve Client of payment for work performed and reasonable demobilization costs.
