Change Order Process

All changes to scope, schedule, or budget shall be documented as a written Change Order approved and signed by authorized representatives of both parties prior to commencement of the changed work. Emergency work may proceed only with written post-facto ratification by both parties.

Acceptance Testing & Handover

Acceptance testing will be performed by Client during a mutually agreed User Acceptance Test (UAT) period. Acceptance criteria for each deliverable are set forth above. Deliverables are accepted when Client provides written acceptance stating that acceptance criteria have been met, or upon lapse of the agreed UAT period without material defect notice.

Confidentiality

Each party will protect the confidentiality of the other party's Confidential Information and will not disclose such information except to its personnel with a need to know or as required by law. Confidential Information does not include information in the public domain or known by the receiving party prior to disclosure. Reasonable measures to protect confidential information must be maintained for the duration of the engagement and for three years thereafter unless otherwise agreed in writing.

Liability, Indemnification & Termination

The Service Provider's total liability for direct damages arising from performance under this SOW shall be limited to the total fees paid by Client for the specific services giving rise to the claim. Neither party shall be liable for consequential, incidental, special, or punitive damages. Each party shall indemnify the other against third-party claims arising from its own gross negligence or willful misconduct.

Either party may terminate this SOW for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination, Client shall pay for all work performed and approved expenses incurred up to the effective date of termination and for any non-cancellable commitments.

Governing Law & Dispute Resolution

This SOW shall be governed by the laws of the jurisdiction indicated below without regard to conflict of law principles. Parties shall attempt to resolve disputes in good faith through negotiation; if unresolved, disputes shall be resolved by binding arbitration unless otherwise agreed in writing.

Status reports will be provided on a basis. Regular progress meetings will be held at the cadence agreed by the parties.

Miscellaneous

This SOW, along with any referenced attachments and executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior proposals and communications. If any provision is found unenforceable, the remainder shall remain in effect.
