Change Orders

Any change to the Scope of Work, schedule, or price shall be made only by a written change order executed by authorized representatives of both parties. No verbal change order shall be binding.

Insurance, Indemnity, and Liability

Service Provider shall maintain commercial general liability, workers' compensation, and any other insurance required by applicable law or industry practice. Service Provider agrees to indemnify, defend and hold harmless Client from claims arising from Service Provider's negligence or willful misconduct, except to the extent caused by Client's negligence.

Confidentiality

Each party shall keep confidential and shall not disclose to third parties any proprietary or confidential information received from the other party in connection with this Contract, except as required by law. Confidential information does not include information that is or becomes publicly available other than by breach of this Contract.

Acceptance Testing and Warranty

Upon completion of the sanding operations or each phase, Service Provider shall notify Client for acceptance inspection. Client shall have days to inspect and either accept or provide written notice of deficiencies. Service Provider warrants that work shall be free from defects in workmanship for a period of months following final acceptance.

Termination

Either party may terminate this Contract for material breach upon providing written notice and a cure period of days. Upon termination, Client shall pay Service Provider for work performed to the date of termination in accordance with the agreed payment schedule, subject to offsets for Client damages resulting from Service Provider's breach.

Force Majeure and Delays

Neither party shall be liable for delay or failure to perform caused by events beyond its reasonable control, including severe weather, strikes, governmental action, or other acts of God. The time for performance shall be extended for the period of excusable delay, provided the affected party gives prompt notice to the other and uses commercially reasonable efforts to mitigate the impact.

Dispute Resolution and Governing Law

The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be submitted to mediation followed by binding arbitration if mediation fails. This Contract shall be governed by the laws of the state of without regard to choice-of-law principles.

Miscellaneous Provisions

Entire Agreement: This Contract, including any attachments and executed change orders, constitutes the entire agreement between the parties and supersedes prior negotiations and agreements.
