Change Order Process

All requests for changes to scope, schedule, or budget must be submitted in writing and approved by authorized representatives of both parties prior to commencement of changed work. The following process and rates apply:

Legal Terms & Special Conditions

Acceptance Testing: Upon delivery of each deliverable, the Client will have a period of fifteen (15) business days to perform acceptance testing. If Client notifies Service Provider of non-conformance, Service Provider will remedy such defects within a mutually agreed cure period at no additional charge unless defects are caused by Client-supplied materials or direction.

Intellectual Property: Subject to full payment of amounts due under this Proposal, the Service Provider assigns to Client all rights in deliverables specifically identified in writing as work-for-hire, except for pre-existing materials and third-party components. Service Provider grants Client a non-exclusive license to any pre-existing materials to the extent embedded in deliverables.

Warranties and Limitations: Service Provider warrants that services will be performed in a professional manner consistent with industry standards for a period of ninety (90) days following acceptance. EXCEPT AS EXPRESSLY STATED, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES. LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE TOTAL CONTRACT VALUE; NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL OR PUNITIVE DAMAGES.

Confidentiality: Each party shall maintain the confidentiality of the other's confidential information and shall not disclose or use such information except as necessary to perform obligations under this Proposal. Confidential information excludes information that is publicly known, independently developed, or rightfully received without restriction.

Termination: Either party may terminate this Proposal for material breach if the breaching party fails to cure within thirty (30) days of written notice. Upon termination for convenience by Client, Service Provider shall be entitled to payment for services performed through the effective date of termination and for reasonable wind-down costs.

Force Majeure: Neither party shall be liable for delay or failure to perform to the extent caused by events beyond that party's reasonable control, including but not limited to acts of God, government action, strike, flood, fire, or pandemic; affected obligations will be suspended for the duration of the event.

Governing Law and Dispute Resolution: This Proposal shall be governed by the laws of the State of . The parties agree to attempt good faith negotiation of disputes, and unresolved disputes shall be resolved by binding arbitration in the county of the Client's principal place of business, subject to the applicable rules and procedures of the chosen arbitration forum.
