Confidentiality

Each party shall keep confidential all information disclosed in connection with this Schedule that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is publicly known, already lawfully known to the recipient, independently developed, or rightfully received from a third party without breach of an obligation of confidentiality.

The receiving party shall use the same degree of care to protect confidential information as it uses with its own similar information, but in no event less than a reasonable degree of care. Upon termination or written request, the receiving party shall return or destroy confidential materials and certify such action in writing.

Governing Law and Dispute Resolution

This Schedule shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict-of-law principles. The parties agree to attempt in good faith to resolve disputes promptly by negotiation between senior representatives.

Acceptance Procedure

The Client shall have a period of fifteen (15) business days to review and either accept the deliverable in writing or provide a written list of defects or nonconformities. If no written response is provided within the review period, the deliverable shall be deemed accepted.

Notices required under this Schedule shall be in writing and delivered to the contact information set forth above. This Schedule constitutes the parties' complete understanding with respect to the project schedule and supersedes prior representations concerning the subject matter herein. Any amendment must be in writing and signed by authorized representatives of both parties.
