Change Order Procedure

Any change to scope, schedule, or price must be documented via a written Change Order. Change Orders require written approval by authorized representatives of both parties prior to the commencement of changed work. Emergency work requested by the Client may proceed only with subsequent written ratification.

Acceptance Testing & Handover

Acceptance testing will verify that seaming tolerances, alignment, and finish meet the acceptance criteria stated for each deliverable. The Client shall provide written acceptance or a written list of deficiencies within five (5) business days following delivery; failure to provide timely written acceptance constitutes conditional acceptance subject to correction of documented deficiencies.

Confidentiality

Each party shall keep confidential all proprietary information disclosed by the other party in connection with this Plan and shall not disclose such information to third parties except as required for performance or by law. Confidential information shall not include information that is publicly available through no breach by the receiving party or that was lawfully in the receiving party's possession prior to disclosure.

Intellectual Property & Deliverables

Subject to payment in full, ownership of final physical and digital deliverables created specifically under this Plan shall transfer to the Client. The Service Provider retains ownership of its pre-existing tools, methods, templates, and know-how. The Service Provider grants the Client a nonexclusive license to use any such retained materials incorporated in deliverables.

Warranties, Indemnity, and Limitation of Liability

The Service Provider warrants that work will be performed with reasonable skill and care and in accordance with the specifications set forth herein for a period of ninety (90) days following acceptance. Except for gross negligence or willful misconduct, neither party shall be liable for consequential, special, or punitive damages. Each party shall indemnify the other for third-party claims arising from its own negligence or breach of this Plan.

Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, strikes, governmental actions, or supply chain disruptions. The affected party shall provide prompt written notice and shall use commercially reasonable efforts to mitigate the impact.

Governing Law & Dispute Resolution

This Plan shall be governed by the laws of the jurisdiction specified below. Parties agree to seek amicable resolution of disputes and, if unresolved, to submit disputes to binding arbitration in that jurisdiction unless otherwise agreed in writing.
