Liability, Termination & Governing Law

Liability: Except for willful misconduct or gross negligence, each party's aggregate liability arising out of or related to this segment shall be limited to direct damages not to exceed the total fees paid for this segment. Neither party shall be liable for incidental, consequential, special or punitive damages.

Termination: Either party may terminate this segment for material breach if the breaching party fails to cure within fourteen (14) days after written notice. Termination for convenience by Client requires thirty (30) days' written notice; Provider shall be compensated for work performed to termination date plus reasonable wind-down costs.

Governing Law: This segment editor shall be governed by the laws of the jurisdiction entered below without regard to conflict-of-law principles.

Acceptance, Records & Audit

Final acceptance of deliverables will be confirmed in writing by Client after completion of acceptance tests described in the acceptance criteria. Provider agrees to keep records of time, materials, and decisions relating to this segment and to provide reasonable access to Client for audit and inspection upon reasonable notice and during normal business hours for up to two (2) years following final payment.

Additional Provisions

Subcontracting: Provider may engage subcontractors provided Provider remains responsible for subcontractor performance and compliance with the terms of this segment editor.

Intellectual Property: Unless otherwise agreed in writing, deliverables created specifically for Client under this segment will be assigned to Client upon full payment; Provider retains the right to use general know-how and pre-existing materials provided such use does not disclose Client confidential information.
