Change Order Process

Any change to scope, schedule, or fees must be documented and approved via a written Change Order signed by both parties. Change Orders will include description, cost estimate, and schedule impact. Work performed prior to a signed Change Order may be billed as additional services.

Confidentiality & Talent Releases

Confidential Information disclosed by either party in connection with this Agreement shall be held in confidence and not disclosed to third parties except as required for project performance. The Service Provider will secure written releases for any individual featured in produced footage unless the Client provides documented consents.

Client will provide photos, video clips, and music licenses necessary for production, and warrants it holds all rights to provide such materials.

Client warrants it has obtained all required releases for third-party likenesses and music; Client indemnifies Provider for any claim arising from Client-provided materials.

Intellectual Property & Promotional Use

Ownership: Subject to Client's payment in full, the Client is granted a perpetual, worldwide, non-exclusive license to use the final delivered master for personal and non-commercial display. The Service Provider retains ownership of raw footage, project files, and underlying assets unless otherwise assigned by written agreement.

Promotional Use: Service Provider may use excerpts or stills from the final deliverable for self-promotion, portfolio, and social media, unless Client checks the opt-out box below.

Client expressly prohibits any promotional use by Service Provider (opt-out).

Cancellation, Termination & Refunds

Either party may terminate for material breach if the breach remains uncured for days after written notice. If Client cancels after project commencement, Client shall be responsible for fees for work performed and non-recoverable expenses. Cancellation fees:

Liability, Indemnification & Force Majeure

Limitation of Liability: Except for willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total amounts paid to the Service Provider under this Agreement. In no event shall the Service Provider be liable for consequential, incidental, or punitive damages.

Indemnification: Client shall indemnify and hold harmless the Service Provider from claims arising out of Client-provided materials, breach of warranties, or unauthorized third-party rights claims. Service Provider shall indemnify Client for claims arising from Service Provider's negligent production activities.

Force Majeure: Neither party shall be liable for delay or failure to perform due to events beyond reasonable control (acts of God, government action, pandemics, strikes, or supply chain disruption). Affected party shall notify the other promptly and seek to mitigate delay.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to choice-of-law principles. Parties agree to attempt good faith negotiation to resolve disputes. If negotiation fails, disputes shall be resolved in the courts located within the governing jurisdiction unless the parties agree to arbitration in writing.
