Scope of Work

Description: The Service Provider shall provide project management services as described below. Services include planning, scheduling, resource coordination, risk management, progress reporting, stakeholder communications, and change management consistent with the deliverables and milestones set forth in this Agreement.

Deliverables shall be delivered in the form, on the dates, and meeting the acceptance criteria described below. Acceptance testing will be conducted within the acceptance period; failure to object in writing during the acceptance period constitutes acceptance.

Milestones, sequencing, and critical path will be maintained in the project schedule. The Provider shall notify the Client in writing of any anticipated schedule variances affecting critical milestones within three business days of identification.

Budget and Payment

Fees set forth below are the total compensation for services rendered under this Agreement, excluding approved change orders and applicable taxes.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Provider may suspend services for overdue payments following seven calendar days' written notice.

Change Order Process

All changes to scope, schedule, or price shall be governed by the change order procedure below. No change shall be effective without a written change order signed by authorized representatives of both parties.

Change orders under the amount of may be approved by the Provider Project Manager; amounts exceeding that threshold require written approval by Client's authorized representative.

Service Levels and Performance Metrics

The Provider shall meet the following service levels. Remedies for failure to meet service levels are limited to the credits or remedies expressly set forth below and do not affect other rights for material breach.

Reporting and Meetings

Provider will supply status reports and attend regular status meetings as described below. Reports shall include progress against schedule, budget status, risk log updates, and open action items.

Confidentiality

Each party shall keep confidential all proprietary information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that becomes public without breach of this Agreement or is independently developed without reference to Confidential Information. Upon termination, all confidential materials must be returned or destroyed as directed by the disclosing party.

Intellectual Property

Unless otherwise agreed in writing, the Client shall retain ownership of pre-existing materials and final deliverables created specifically for the Client upon full payment. Provider retains ownership of tools, templates, methodologies, and intellectual property developed or used prior to or outside the scope of this Agreement. The Provider grants the Client a perpetual, non-exclusive license to use deliverables solely for Client's internal business purposes.

Liability and Indemnification

Each party shall indemnify the other against third-party claims arising from the indemnifying party's negligence or willful misconduct. The Provider's aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid by the Client to the Provider under this Agreement during the twelve months preceding the claim. Neither party shall be liable for consequential, special, or punitive damages except to the extent resulting from gross negligence or willful misconduct.

Termination

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for thirty (30) days after written notice specifying the breach. The Client may terminate for convenience upon thirty (30) days' written notice and payment for all work performed up to the effective date of termination, including reasonable wind-down costs.

Force Majeure

Neither party shall be liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to natural disasters, acts of governmental authority, labor disputes, or network outages, provided that the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict-of-law principles. The parties shall attempt in good faith to resolve disputes through escalation to senior executives. If unresolved, disputes shall be resolved by binding arbitration in the agreed jurisdiction unless otherwise mutually agreed in writing.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below or to such other address as either party designates in writing. Notices are effective upon receipt.

Miscellaneous

This Agreement, together with any incorporated statements of work and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
