Invoices will be submitted to Client and are payable within calendar days of receipt. Late payments accrue interest at until paid.

Change Order Process

Any change to scope, schedule, deliverables, or fees shall be effected only by a written Change Order signed by authorized representatives of both parties. Change Orders shall specify the scope change, impact on schedule, and adjustment to fees. No work outside the scope will be billable unless a Change Order is executed.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential. Confidential information may be used only to perform obligations under this SOW. Confidential information shall not be disclosed except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than this clause.

Liability; Indemnification; Insurance

Each party shall indemnify, defend and hold harmless the other from third-party claims arising from its gross negligence or willful misconduct. Except for indemnity obligations and willful misconduct, neither party's aggregate liability for direct damages arising from this SOW shall exceed the total fees paid to Provider under this SOW during the twelve (12) months preceding the claim. Provider shall maintain general liability and professional liability insurance in commercially reasonable amounts.

Termination

Either party may terminate this SOW for material breach if the breaching party fails to cure the breach within calendar days after written notice. Client may terminate for convenience upon days' prior written notice; in such event Provider shall be paid for services performed and expenses incurred through the effective termination date.

Notices

Governing Law & Dispute Resolution

This SOW will be governed by and construed in accordance with the laws of the jurisdiction set forth below without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between senior executives. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in the chosen jurisdiction.

Miscellaneous

This SOW constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior proposals and communications. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
