What the Project Management Services Exhibit Is

The Project Management Services Exhibit is a contract addendum that defines project-specific scope, deliverables, schedules, roles, payment terms, acceptance criteria, and governance for a single engagement. It sits alongside a master services agreement or prime contract and provides the operational detail project teams use to manage work, measure progress, and determine invoicing. The Exhibit typically lists milestones, reporting cadence, change-order procedures, and responsibilities for project management, quality assurance, and client approvals so both parties have a clear, enforceable record of expectations.

Why a Clear Exhibit Matters for Project Outcomes

A well-drafted Project Management Services Exhibit reduces ambiguity, limits disputes, and aligns stakeholders on timing, deliverables, and payment. It creates an auditable record that supports invoicing, change management, and post-project reviews while helping protect contractual rights during performance or closeout.

Why a Clear Exhibit Matters for Project Outcomes

Who Typically Prepares and Signs the Exhibit

Multiple stakeholders prepare and rely on the Exhibit during project delivery, from commercial leads to delivery teams.

  • Project Managers and PMO leads responsible for scheduling, status reporting, and acceptance criteria for each milestone.
  • Procurement or Contracts teams that confirm commercial terms, invoicing triggers, and governance obligations with the counterparty.
  • Finance and Accounts Payable staff who use the Exhibit to validate invoices and apply payment terms accurately.

Clear assignment of preparer and approver roles in the Exhibit reduces delays and ensures documents are accepted by all signatories.

Roles That Sign and Manage the Exhibit

Project Manager — Delivery Lead

The Project Manager coordinates scope, milestones, acceptance tests, and daily execution. They ensure the Exhibit reflects achievable schedules, escalate scope changes, and confirm milestone acceptance or remedial actions in writing during project performance.

Authorized Signatory — Contracts Officer

The Contracts Officer or other authorized signatory has authority to bind the organization. They verify legal terms, payment clauses, and change-order approval limits before executing the Exhibit on behalf of the company.

Essential Parts of a Professional Project Management Services Exhibit

A comprehensive Exhibit addresses scope, schedule, payment, acceptance, change control, and governance so both parties have one concise reference for project execution and dispute resolution.

Scope Statement

Precisely describe tasks, deliverables, and exclusions to avoid scope creep and to map acceptance criteria to invoicing events.

Milestones & Schedule

Include milestone names, delivery dates, dependencies, and responsible parties so progress tracking and delay assessments are straightforward.

Acceptance Criteria

Define objective tests, review periods, and correction windows for deliverables to govern formal acceptance and payment triggers.

Change Control

Specify the approval process, documentation requirements, and pricing adjustments for change orders to prevent unauthorized scope changes.

Payment Terms

State invoicing milestones, payment timing, currency, taxes, and late-payment remedies to align financial expectations.

Project Governance

List steering committee members, escalation paths, reporting cadence, and dispute resolution procedures to manage decisions and risks.

Step-by-Step: Completing the Exhibit

Follow a consistent completion order to speed review and reduce rework: confirm contract references, enter scope, then complete schedules and signature blocks.

  • 01
Prepare Reference Data: Confirm master agreement number and governing law reference.
  • 02
Define Scope: Enter precise tasks, deliverables and exclusions.
  • 03
Set Milestones: Assign dates, owners, and acceptance criteria.
  • 04
Finalize Signatures: Collect authorized signatures and execution dates.

Typical Online Workflow Settings for the Exhibit

Configure workflow fields and authentication to match internal controls and the counterparty's review process.

Field Configuration
Signer Order Sequential or parallel routing based on approvals
Authentication Email link by default; SMS or KBA if higher assurance needed
Required Fields Mark signature, date, and milestone acceptance fields as mandatory
Retention Enable automatic export to contract repository after signing

Typical eSigning Flow for the Exhibit

A standard digital signing workflow speeds execution while preserving audit trails and proof of consent.

  • Upload Document: Sender uploads the Exhibit PDF or DOCX to the signing platform.
  • Place Fields: Add signature, date, initials, and checkbox fields where needed.
  • Add Signers: Enter signer emails and determine signing order.
  • Send and Track: Distribute invites; platform records timestamps and completion evidence.

Platform Capabilities and File Format Requirements

Ensure the signing platform supports required authentication, audit trails, and file formats before eSubmission.

  • File Types: PDF and Word DOCX formats are universally supported.
  • Integrations: Look for Salesforce, NetSuite, Google Workspace, and Procore connectors.
  • Security: Platform should offer AES-256 at rest and TLS 1.2/1.3 transport encryption.

Confirm the platform retains an auditable certificate of completion and meets any industry-specific compliance obligations.

Data, Security, and Compliance Considerations

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Audit Trail: Timestamped event log with IP and action history
Authentication: Email, SMS, KBA, or advanced signer verification
Certifications: SOC 2 Type II and ISO 27001 available
Regulatory: ESIGN and UETA compliance for U.S. transactions
HIPAA Support: BAA available for protected health information

Common Preparation Errors to Avoid

  • Vague scope descriptions that omit exclusions, leading to disputes and change-order claims during delivery.
  • Missing milestone acceptance criteria, which delays invoicing and creates disagreement on whether work is complete.
  • Using inconsistent dates or time zones across sections, which causes confusion about deadlines and deliverable windows.
  • Failing to confirm authorized signer names and titles, resulting in rejected signatures or delayed execution.

Consequences of an Incorrect or Incomplete Exhibit

Payment Delay: Invoice rejection and delayed cash flow
Scope Dispute: Contractual disagreements and added legal costs
Regulatory Risk: HIPAA exposure for health data omissions
Tax Issues: Incorrect reporting or backup withholding triggers
Notarization Defect: Invalid acknowledgment where notarization required
Authorization Void: Signatures by unauthorized personnel may be unenforceable
