Invoices shall be submitted in accordance with the Payment Schedule and are payable within days of invoice receipt. Late payments shall accrue interest at until paid.

Change Order Procedure

All changes to the Scope of Work, deliverables, timeline, or fees shall be made only by a written Change Order signed by authorized representatives of both parties. No oral instruction shall be binding. Change Orders shall include a description of work, schedule impact, cost or credit, and revised acceptance criteria.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Agreement and shall not use such information except to perform its obligations hereunder. Confidential information does not include information that is or becomes public through no breach by the recipient, is independently developed without reference to the disclosing party's information, or is lawfully obtained from a third party without restriction.

Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in pre-existing materials of each party remain vested in that party. Upon full payment, Service Provider assigns to Client all right, title and interest in deliverables specifically created for Client under this Agreement, subject to Service Provider's right to reuse general skills, know-how, and methodologies.

Liability, Indemnity & Insurance

Each party's aggregate liability arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid under this Agreement in the preceding twelve months. Neither party shall be liable for consequential, incidental, special or punitive damages. Service Provider shall indemnify Client for third-party claims arising from Service Provider's negligence or willful misconduct. Service Provider shall maintain professional liability insurance in commercially reasonable amounts.

Termination

Either party may terminate this Agreement for material breach if the breach remains uncured for thirty (30) days following written notice. Client may terminate for convenience upon thirty (30) days' written notice; in such event, Client will pay Service Provider for all services performed and reasonable, documented costs incurred through the effective date of termination.

Notices

Notices under this Agreement shall be sent to the addresses set forth below and shall be deemed delivered upon personal delivery, confirmed delivery by courier, or three (3) business days after deposit with the postal service.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.
