Project Identification

The Service Provider will perform the services described below in accordance with the terms of this Short Form. All services shall be performed in a professional manner consistent with industry standards.

Change Order Process

Any change to scope, schedule or price shall be effected only by a written Change Order signed by authorized representatives of both parties. The Change Order shall describe the change, impact on schedule, and adjustment to compensation.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is marked confidential or that reasonably should be understood to be confidential. Confidential information shall not be used except to perform obligations under this Short Form and shall not be disclosed except to employees or subcontractors who need to know and are bound by confidentiality obligations.

Intellectual Property

Unless otherwise agreed in writing, work product created specifically for the Client pursuant to this Short Form shall be deemed a deliverable. Intellectual property rights in deliverables shall be handled as selected below.

  Assign all rights in final deliverables to Client upon full payment.      Grant Client a perpetual, worldwide, non-exclusive license to use deliverables (if selected, specify limits in notes).

Governing Law & Liability

This Short Form shall be governed by the laws of the state indicated below without regard to conflict of law principles. Each party's liability for direct damages arising out of this Short Form shall be limited to the total fees paid to the Service Provider under this Short Form during the twelve (12) month period preceding the claim. Neither party shall be liable for incidental, special, consequential or punitive damages except for willful misconduct or gross negligence.

Termination

Either party may terminate this Short Form for convenience upon prior written notice to the other party as set forth below. Upon termination, the Client shall pay for all work performed and costs reasonably incurred through the effective date of termination.

Acceptance Procedure

Client shall have a reasonable review period (not exceeding fifteen (15) business days unless otherwise agreed) to inspect each deliverable. If Client does not provide written notice of rejection with specific deficiencies within the review period, the deliverable will be deemed accepted. Rejected deliverables shall be corrected by the Service Provider at no additional cost where such rejection is based on failure to meet the agreed acceptance criteria.
