Budget and Payment

All invoices shall reference the Project ID and the applicable deliverable or milestone. Unless otherwise stated in a written amendment or change order, Client shall pay undisputed invoices within the agreed payment terms stated above. Interest on overdue amounts shall accrue at the rate agreed in the master services agreement or, absent an agreement, at a commercially reasonable rate.

Confidentiality

Each party shall maintain the confidentiality of the other party’s proprietary or confidential information disclosed in connection with the performance of this work. Confidential information shall not be used except to perform obligations under this Sign Off Sheet and shall not be disclosed to any third party without prior written consent, except as required by law. This confidentiality obligation survives termination of the engagement.

Governing Law and Dispute Resolution

This Sign Off Sheet shall be governed by the laws of the jurisdiction indicated below without regard to conflict of law principles. The parties agree to attempt to resolve disputes promptly by negotiation between executives. If unresolved, disputes will be resolved as set forth in the controlling agreement between the parties.

Liability and Indemnity

Except as otherwise specified in a separate agreement, each party’s liability arising out of this Sign Off Sheet shall be limited to direct damages and shall exclude consequential, incidental, and punitive damages to the maximum extent permitted by law. The parties shall indemnify one another from third-party claims arising from their respective breaches or negligence in performing their obligations under this Sign Off Sheet.
