Confidentiality

Each party acknowledges that, in the performance of its obligations, it may receive Confidential Information of the other party. The receiving party shall implement reasonable safeguards to protect such Confidential Information and shall return or destroy it upon written request.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, the aggregate liability of the Service Provider for any breach or claim arising out of this signoff shall not exceed the total amount paid or payable to the Service Provider under this agreement for the affected deliverable(s). Neither party shall be liable for indirect, special, incidental, or consequential damages.
