Budget & Payment

Fees are payable pursuant to the payment schedule below. All amounts are exclusive of taxes unless otherwise stated. Any additional work approved under a change order will be invoiced as agreed in the Change Order Process.

Change Order Process

All changes to scope, schedule, or budget must be documented in a written change order. Change orders require signature by the authorized representatives of both parties and shall specify adjustments to price and schedule. Emergency changes may be initiated orally but must be followed by a written change order within five (5) business days.

Service Levels & Performance

The Service Provider warrants that it shall meet the service levels below. Performance shall be measured against mutually agreed metrics and reported as described in the Performance Reporting section.

Performance Reporting & Reviews

The Service Provider shall deliver periodic performance reports detailing adherence to SLA metrics, open issues, risk register, and planned mitigation. Quarterly service review meetings shall be scheduled to review performance, forecasts, and potential adjustments.

Confidentiality

Each party shall treat as Confidential Information all non-public information disclosed in connection with this Agreement. Confidential Information shall not be disclosed except to employees or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, or that is rightfully received from a third party without restriction.

Termination

Either party may terminate this Agreement for material breach upon thirty (30) days' written notice if the breach is not cured within that period. Termination for convenience requires thirty (30) days' prior written notice and payment for all services rendered and accepted to the effective date of termination.

Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, or governmental action. The affected party shall notify the other promptly and take reasonable steps to mitigate the effect.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflicts of law principles.

Liability & Indemnification

Except as otherwise provided, each party's liability under this Agreement shall be limited to direct damages and shall not exceed the total amounts paid to the Service Provider under this Agreement in the twelve (12) months preceding the claim. Each party agrees to indemnify and hold harmless the other from third-party claims arising from its gross negligence or willful misconduct.

Miscellaneous

Notices must be in writing and delivered to the contact persons identified in this Agreement. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is found invalid, the remaining provisions shall remain in force.
