This Agreement is entered into by Client and Service Provider for the design, development, testing, delivery and support of the software solution described herein. Client desires to engage Service Provider to perform the services and deliver the Work Product, and Service Provider agrees to provide such services under the terms and conditions set forth below.

Invoices shall be due within days of receipt, and late payments shall accrue interest at a rate not to exceed .

Change Order Process

Any change to the Scope, schedule, deliverables, or price must be documented in a written Change Order signed by authorized representatives of both parties. Change Orders shall specify the scope change, associated cost adjustment, and schedule impact. Service Provider shall not be obligated to perform changes without an executed Change Order.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Confidential Information excludes information that is publicly available, rightfully known prior to disclosure, or rightfully obtained from a third party without obligation of confidentiality.

Intellectual Property & License

Unless otherwise agreed in writing, all Work Product developed specifically for Client under this Agreement shall be deemed "work made for hire" and assigned to Client upon full payment. Service Provider retains ownership of its pre-existing background technology and tools; Client is granted a non-exclusive, royalty-free license to any background technology embedded in the Work Product solely to use the delivered solution for its internal business purposes.

Warranties, Defects & Acceptance Testing

Service Provider warrants that the delivered Work Product will materially conform to the agreed specifications for a period of 60 days following formal acceptance. Client must perform Acceptance Testing within the acceptance period specified for each deliverable. If defects are discovered, Service Provider shall use commercially reasonable efforts to correct them at no additional charge if they fall within the warranty period and result from Service Provider's failure to perform as specified.

Maintenance & Support (Optional)

Post-delivery support services, if purchased, shall be provided pursuant to a Support Addendum. Specify whether support is included:

Termination

Either party may terminate this Agreement for material breach if the other party fails to cure a material breach within days after written notice. Upon termination, Client shall pay for all work performed and approved expenses through the effective date of termination.

Limitation of Liability & Indemnification

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or intellectual property obligations, neither party's aggregate liability shall exceed the total fees paid by Client under this Agreement. Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising from the indemnifying party's breach of representations, negligence, or willful misconduct.

This Agreement shall be governed by and construed in accordance with the laws of: . Parties shall attempt in good faith to resolve disputes through negotiation and, if unsuccessful within 30 days, through mediation prior to commencing litigation.
