Change Order Process: All changes to scope, schedule or price require a written change order signed by authorized representatives of both parties. Change orders shall include a description of the change, impact on schedule, and any adjustment to fees.

Confidentiality & Intellectual Property

Each party shall treat as Confidential Information all proprietary or non-public information disclosed by the other party in connection with this engagement. Confidential Information shall not be disclosed except to employees, consultants, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. All intellectual property created specifically for the Client under this Plan shall be assigned to the Client upon full payment, except where pre-existing Provider materials, tools, or methodologies are incorporated; such pre-existing materials remain the Provider's property and are licensed to the Client for internal use only.

Liability, Indemnity & Insurance

The Provider shall carry commercially reasonable insurance appropriate for the scope of services. Except for willful misconduct or gross negligence, neither party's liability for direct damages shall exceed the total fees paid under this Plan. Each party agrees to indemnify and hold harmless the other against third-party claims arising from its breach or negligent performance of obligations under this Plan.

Termination

Either party may terminate this Plan for material breach by the other party if the breach remains uncured for days after written notice. Upon termination, the Client shall pay for work performed to the termination date and for any non-cancellable commitments reasonably incurred by the Provider.

Status reporting frequency and formats. The Provider shall deliver project status reports to the Client representative at the agreed frequency and shall promptly escalate issues that materially affect schedule, scope, or budget.

This Plan shall be governed by and construed in accordance with the laws of the jurisdiction identified below. Before initiating litigation, the parties agree to attempt to resolve disputes through good-faith negotiation and, if unsuccessful, non-binding mediation.
