What a Project Management Sub Contract Is and When It Applies

A Project Management Sub Contract is a written agreement that assigns specific project management duties, deliverables, schedules, and payment terms from a primary contractor to a subcontractor or third-party project manager. It defines scope, milestones, change-order handling, liability limits, and dispute resolution to coordinate work across trades and stakeholders. These agreements are commonly used on construction, IT deployment, and professional services projects to separate operational management from trade execution while preserving the prime contract’s overall obligations and risk allocation.

Why a Clear Subcontract Protects Schedules and Payments

A well-drafted Project Management Sub Contract clarifies responsibilities, reduces delays, and makes payment and approval triggers enforceable. It reduces misunderstandings about scope, helps allocate risk, and provides a contractual basis for schedule control, progress billing, and corrective actions when work falls behind.

Why a Clear Subcontract Protects Schedules and Payments

Who Typically Completes and Signs This Subcontract

Parties that commonly prepare or sign Project Management Sub Contracts include prime contractors, specialty subcontractors, third-party project managers, and owners when delegating coordination tasks.

  • Prime Contractor — Prepares master terms, controls primary obligations, and retains responsibility to the owner unless novation occurs.
  • Project Manager — Accepts operational scope, schedules, and reporting duties and often manages subcontractor coordination and permits.
  • Subcontractor — Agrees to the project manager’s scheduling and invoicing procedures while keeping trade-specific warranties and safety obligations.

Ensure signatory authority is documented: signers should be officers or named agents with written authority to bind their organization.

Typical Signatory Roles

Project Manager

The project manager is often a licensed firm or individual with delegated authority to control schedules, approve invoices, and issue change directives; include a short delegation of signing authority and limits of liability in the contract.

Subcontractor Rep

The subcontractor representative signs to accept scope, pricing, safety requirements, and warranty obligations; their signature binds the subcontractor to performance milestones and payment terms described in the agreement.

Core Elements to Include in a Professional Sub Contract

A complete Project Management Sub Contract keeps the operational and legal details explicit. Include clauses for scope, schedule, payment, change orders, insurance, termination, and dispute resolution so both parties know how to manage routine and exceptional events.

Schedule & Milestones

Change Control

A formal process for proposing, pricing, approving, and documenting scope changes with impact on cost and time.

Insurance & Indemnity

Required policies, limits, and indemnity allocation for third-party claims arising from management activities.

Termination & Disputes
