Confidentiality

Each party shall maintain as confidential all information designated as confidential and shall not disclose such information except to employees and subcontractors who have a need to know and are bound by obligations of confidentiality at least as protective as those set forth herein. Confidential information shall not include information that is publicly known through no breach by the receiving party, or that is required to be disclosed by law with prior notice to the disclosing party when legally permissible.

Indemnification & Insurance

Service Provider shall indemnify and hold harmless Client and its officers, directors and employees from and against all third-party claims, liabilities, losses and expenses arising from Service Provider's negligent performance or breach of this subcontract. Service Provider shall maintain insurance customary for the work, including commercial general liability and professional liability where applicable, and shall provide certificates of insurance upon request.

Limitation of Liability

Except for indemnification obligations, neither party shall be liable to the other for consequential, incidental or punitive damages. The aggregate liability of either party for claims arising under this subcontract shall not exceed the total contract value set forth above, except for liability arising from gross negligence or willful misconduct.
