What the Project Management Subcontract Final Is

The Project Management Subcontract Final is a written agreement that documents the scope, deliverables, payment terms, schedule, and responsibilities between a prime contractor and a subcontractor for project management services. It finalizes negotiated terms after bids or preliminary agreements, and typically attaches exhibits such as scope of work, milestone schedules, insurance certificates, and change-order procedures. This document becomes the operative contract governing performance, remedies, and dispute resolution; parties should confirm that the final version reflects all negotiated changes before signatures and retention for compliance and audit purposes.

Why a Finalized Subcontract Matters

A completed Project Management Subcontract Final reduces misunderstandings about responsibilities, creates enforceable payment and schedule obligations, and establishes formal points for change control and liability allocation.

Why a Finalized Subcontract Matters

Who Typically Prepares and Signs This Subcontract

Final signatures bind the parties; ensure authorized signatories sign and that the executed copy is retained per recordkeeping rules.

  • Prime Contractors: Review risk allocation, insurance, and flow-down clauses to ensure contract consistency across tiers.
  • Subcontractors: Verify scope, payment terms, schedule, and warranty obligations to protect margins and timelines.
  • Project Managers: Confirm deliverables, milestones, reporting cadence, and acceptance criteria for project governance.

Who Can Sign and Their Roles

Authorized Officer

A company officer or executive with express authority signs on behalf of a corporate party; include job title and printed name on the signature block to confirm authority and reduce later disputes.

Project Manager

A designated project manager may sign for operational acceptance or delivery confirmation when the subcontract explicitly delegates signature authority for specified deliverables.
