Expenses: The Client will reimburse reasonable, pre-approved expenses incurred by the Service Provider. Reimbursable expenses require prior written approval where practicable.

Change Order Process

All changes to scope, schedule or budget shall be executed only by a written change order approved by authorized representatives of both parties. Verbal directions do not constitute a change order.

Confidentiality

Each party acknowledges that, in the course of performance, it may receive Confidential Information. Each party shall (a) use Confidential Information solely for performance of this Agreement, (b) restrict disclosure to employees and subcontractors on a need-to-know basis, and (c) take commercially reasonable measures to protect Confidential Information from unauthorized use or disclosure.

Liability, Indemnification & Insurance

Limitation of Liability: Except for willful misconduct or gross negligence, the aggregate liability of either party for claims arising out of this Agreement shall not exceed the total fees paid by the Client to the Service Provider under this Agreement during the twelve (12) month period preceding the claim.

Termination

Either party may terminate this Agreement for convenience upon written notice to the other party, provided that the terminating party provides the notice period specified below and pays for all services performed and expenses incurred through the effective date of termination.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below excluding its conflicts of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating legal action.

General Provisions

Entire Agreement: This Agreement, including any executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings. Amendments must be in writing and signed by authorized representatives of both parties.
