The Service Provider shall furnish documentation, access, and personnel support necessary to enable the receiving party to assume project management functions without operational regression.

Confidentiality

Each party shall protect Confidential Information disclosed in connection with the transition with at least the same degree of care it uses to protect its own confidential information and shall not disclose such information except as required to perform transition obligations. Confidential Information shall include non-public business, technical and financial information, personnel data, and project materials. The obligations in this clause shall survive termination of this Agreement for a period of years.

Liability, Indemnity & Insurance

Each party's total liability arising from or relating to this Agreement shall be limited to direct damages not to exceed the fees paid for the transition. Neither party shall be liable for indirect, special, incidental, or consequential damages. The Service Provider shall indemnify and hold harmless the Client from third-party claims arising from the Provider's negligent acts or omissions in performing the transition. The Provider shall maintain commercially reasonable insurance coverage during the term of the transition.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within 15 days of written notice. Termination shall not relieve the terminating party of obligations accrued prior to the termination date, including payment for work performed through the effective termination date. Upon termination the Provider shall promptly deliver all transition materials and cooperate with orderly transfer of responsibilities.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of law.

Notices

Transition Acceptance & Final Criteria

Transition completion is declared when: (a) all deliverables are delivered and meet acceptance criteria; (b) required knowledge transfer activities are completed; and (c) the receiving party acknowledges operational readiness. Any deficiencies identified at acceptance will be documented in a punch-list to be remediated by the Provider within agreed timeframes.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets. Subcontracting: Provider may subcontract portions of the work but remains responsible for performance. Data Retention: Records created in connection with the transition shall be retained by the party owning the records in accordance with its retention policies unless otherwise agreed in writing.
