The Service Provider shall perform a project management survey and produce the deliverables described below. Work will be performed in accordance with the schedule and standards set forth in this proposal. Any deviation from the stated scope shall require a written change order approved by both parties prior to performance.

Acceptance Procedure

Upon delivery of each deliverable the Client shall have a period of ten (10) business days to inspect and provide written notice of acceptance or specific deficiencies. If the Client fails to provide timely notice, the deliverable will be deemed accepted. Acceptance shall not be unreasonably withheld if the deliverable meets the Acceptance Criteria set forth above.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information received from the other party, except as required by law. Confidential Information means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Liability, Warranty & Termination

The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages. Either party may terminate this Agreement upon thirty (30) days' written notice if the other party materially breaches a material obligation and fails to cure within the notice period. Upon termination the Client shall pay for all work performed to the termination date and reasonable wind-down costs.

Governing Law

This proposal and any resulting agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of law principles. Exclusive jurisdiction for disputes shall lie with the courts of that state.

Miscellaneous

Entire Agreement: This Proposal, when executed by both parties, constitutes the entire agreement between the parties pertaining to the subject matter and supersedes all prior agreements and understandings. Amendments must be in writing and signed by authorized representatives of both parties.
