Change Order Process

All changes to scope, schedule or budget shall be documented in a written Change Order signed by authorized representatives of both parties. Change Orders shall specify the change, effect on cost, schedule, and acceptance criteria. Unless a Change Order is executed, the Service Provider is not required to perform changed work.

Confidentiality

Each party agrees to maintain as confidential all non-public information disclosed in connection with this Proposal and the Project. Confidential information shall be used solely for the performance of obligations under this Proposal. The confidentiality obligation shall survive termination for a period specified below.

Intellectual Property & Deliverables

Unless otherwise agreed in writing, the Service Provider grants the Client a perpetual, non-exclusive, worldwide license to use deliverables solely for Client's internal business purposes upon full payment. Pre-existing tools, libraries, methodologies, and background intellectual property of the Service Provider remain the exclusive property of the Service Provider.

Termination

Either party may terminate this Proposal for material breach if the breach remains uncured for 30 days after written notice. Upon termination, the Client shall pay for all work performed and non-cancelable commitments incurred through the termination date. Sections that by their nature survive termination, including Confidentiality and IP, shall remain in force.
