Confidentiality

Each party acknowledges that in the course of performance, it may receive confidential information of the other party. Recipient will: (a) use such information only for performance of obligations under this Task Form; (b) protect it using at least the same degree of care as it uses to protect its own confidential information but not less than reasonable care; and (c) not disclose it to any third party except with prior written consent or as required by law. Confidential information does not include information that is or becomes public without breach, already known to recipient, independently developed, or rightfully obtained from a third party.

Indemnity & Limitation of Liability

Each party shall indemnify and hold the other harmless from third-party claims arising from its gross negligence or willful misconduct in connection with this Task Form. Except for liability for personal injury or indemnified third-party claims, neither party's aggregate liability under this Task Form shall exceed the fees paid to the Service Provider for the specific task giving rise to the claim.

Governing Law

This Task Form shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising under this Task Form.
