Change Order Process

All changes to scope, schedule, or budget require a written change order signed by authorized representatives of both parties. The change order shall identify the change, impact on timeline, impact on price, and any adjustments to acceptance criteria.

Confidentiality

Each party acknowledges that it may receive Confidential Information. Confidential Information shall be used solely for performance under this Task Schedule and shall not be disclosed except to personnel with a need to know. Confidential Information does not include information that is public, independently developed without breach, or rightfully obtained from a third party.

Liability, Termination & Remedies

Unless otherwise agreed in writing, each party's liability arising from or related to this Task Schedule is limited to direct damages up to the total fees paid for the affected deliverable(s). Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. Termination shall not relieve the Client of payment for services performed and accepted prior to termination.

This Task Schedule is governed by the laws of the jurisdiction specified below without regard to conflict-of-law principles.

The Service Provider shall maintain project records, change control logs, and evidence of acceptance for each deliverable for a period of not less than three years from final acceptance. Records shall be made available to the Client upon reasonable request.
