What the Project Management TCI Contract Is

The Project Management TCI Contract is a standardized professional services agreement used to define scope, deliverables, timelines, payment terms, change control, and acceptance criteria for project management engagements labeled as TCI. It assigns responsibilities between the client and the project manager or firm, establishes milestones, and addresses risk allocation, intellectual property, confidentiality, and termination rights. The contract format supports fixed-price and time-and-materials structures and is commonly adapted with exhibits for schedules, resource plans, and acceptance tests to create an auditable record of performance and payment obligations.

Why a Clear TCI Contract Matters

A Project Management TCI Contract clarifies roles, reduces scope disputes, and records deliverables and payment milestones. Clear terms support enforceability under federal ESIGN and state UETA frameworks when e-signed, and they help limit delays, change-order disputes, and billing disagreements.

Why a Clear TCI Contract Matters

Who Typically Prepares and Signs This Contract

Project owners, program managers, general contractors, and specialty vendors commonly use the Project Management TCI Contract for formalizing project governance and payments.

  • Project owners and sponsors who need documented deliverables, milestones, and acceptance criteria.
  • Third-party project management firms engaged to deliver scope, resources, and risk management services.
  • Procurement and legal teams reviewing payment terms, change control, and indemnity clauses.

Authorized representatives from contracting entities must sign; include witness or notarization steps if state law or contract risk requires formal authentication.

Core Sections to Include in a Professional TCI Contract

Core sections of a Project Management TCI Contract define responsibilities, payment mechanics, milestones, change control, IP rights, confidentiality, and termination processes for project governance.

Scope

Describe project objectives, included services, excluded tasks, deliverables, acceptance criteria, assumptions, constraints, performance standards, and reporting obligations; use exhibits for technical specifications and resource commitments.

Payment

State fees, schedule, invoicing cadence, retainers, milestone payments, reimbursement of expenses, tax treatment, late-payment remedies, withholding obligations, and dispute-resolution for invoices.

Milestones

List measurable milestones, deliverable descriptions, deadlines, acceptance test procedures, and dependencies. Tie milestone completion to payment triggers and clear acceptance criteria to avoid disputes.

Change Control

Define process for change requests, approval authority, cost and schedule impact assessments, notice periods, and documentation requirements. Specify who may authorize scope changes and how rates are adjusted.

IP & Confidentiality

Allocate ownership of deliverables and preexisting IP, license grants, and limitations. Include confidentiality obligations, permitted disclosures, data handling, and any HIPAA or sensitive-data addenda where applicable.

Termination & Remedies

Specify termination for convenience and for cause, notice periods, cure rights, transition assistance, remedies for breach, limitations of liability, and indemnity provisions.

  • Mismatched legal names or missing signatory authority that invalidate signatures or trigger tax reporting issues and backup withholding.
  • Omitting data handling or confidentiality clauses for sensitive project information, risking HIPAA or proprietary data exposure in healthcare or technology projects.
