The parties agree that Confidential Information exchanged in connection with this proposal and resulting engagement shall be used solely for performance under this agreement and protected from unauthorized disclosure. Confidential obligations continue for the period specified below.

Intellectual property rights shall be allocated as follows: the Provider retains ownership of preexisting tools and methodologies; deliverables produced specifically for the Client under this proposal will be assigned to the Client upon payment in full, except where otherwise agreed in writing.

Liability, Termination, Governing Law

Limitation of Liability: Except for willful misconduct or gross negligence, each party's aggregate liability under this proposal shall not exceed the total fees paid to the Provider for the services giving rise to the claim.
