The Service Provider will perform the services and produce the deliverables described below in accordance with the schedule and acceptance criteria set forth. Services will include project management, coordination, reporting, risk management, and other activities expressly described in this Term Sheet. Changes to scope shall follow the Change Order Process in this document.

Deliverables and Acceptance

The following deliverables will be provided and are subject to the acceptance procedure described. Acceptance shall be deemed given upon formal written acceptance by the Client or upon expiration of the acceptance period without material rejection.

Timeline & Milestones

The parties agree to the preliminary schedule below. Dates are target dates and may be adjusted by written change order. Each milestone includes a deliverable and acceptance activity.

Budget & Payment Terms

Fees for the services set forth in this Term Sheet shall be as follows. All amounts are exclusive of applicable taxes unless otherwise stated. Payment terms are specified for each invoice or milestone.

Invoices unpaid beyond thirty (30) days after the invoice date shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Client remains responsible for all reasonable collection costs and attorneys' fees incurred in collecting overdue amounts.

Change Order Process

All changes to scope, schedule, or price must be documented in a written change order signed by authorized representatives of both parties. The change order shall describe the change, the impact on schedule, and any fee adjustment. Work performed without a signed change order will not be billable unless subsequently approved in writing.

Confidentiality

Each party shall hold confidential and not disclose any Confidential Information of the other party. Confidential Information includes non-public business, technical and financial information disclosed in connection with the Project. Confidential Information does not include information that is or becomes generally available to the public other than by breach of this provision, or that a party can demonstrate was already rightfully in its possession.

Intellectual Property

Unless otherwise agreed in writing, Service Provider grants to Client a perpetual, non-exclusive, transferable right to use Deliverables created under this Term Sheet for Client's internal business purposes upon full payment of all fees due. Service Provider retains ownership of its pre-existing intellectual property and any general methodologies, know-how or tools used to perform the services.

Limitation of Liability & Indemnity

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability for direct damages arising out of or relating to this Term Sheet shall not exceed the total fees paid to Service Provider under this Term Sheet. The Client shall indemnify Service Provider for third-party claims arising from Client-supplied materials or misuse of deliverables; Service Provider shall indemnify Client for claims of infringement to the extent caused by Service Provider's deliverables.

Termination

Either party may terminate this Term Sheet for material breach upon written notice if the breach is not cured within thirty (30) days. Client shall pay for all work performed and reasonable wind-down costs through the effective date of termination. Termination for convenience may be exercised by Client upon thirty (30) days' written notice, subject to agreed payment for work in progress.

Governing Law & Dispute Resolution

Governing Law: Parties agree to negotiate promptly in good faith to resolve disputes. If unresolved within sixty (60) days, disputes shall be submitted to binding arbitration in the agreed governing jurisdiction unless the parties agree otherwise in writing.

Additional Provisions

Severability: If any provision is held invalid, the remainder shall remain in effect. Entire Agreement: This Term Sheet, together with executed change orders, constitutes the entire agreement between the parties with respect to the Project and supersedes prior discussions and proposals. Notices must be in writing and delivered to the primary contacts listed above.
