Project Identification

Purpose and Authority

This Terms of Reference (TOR) sets out the scope, deliverables, schedule, budget, responsibilities and governance for the Project identified above. The Service Provider is authorized by the Client to perform the services described in this TOR in accordance with the terms and conditions herein. Execution of this TOR by authorized representatives of both parties evidences their agreement to be bound by these provisions.

Scope of Work

Deliverables and Acceptance

The Service Provider shall produce the deliverables listed below. Each deliverable shall be accompanied by the referenced acceptance criteria. Acceptance by the Client shall be granted only when the deliverable complies with the acceptance criteria and any agreed change orders have been executed.

Change Order Process

Changes to scope, schedule or price shall be effected only through a written Change Order signed by authorized representatives of both parties. The Change Order must describe the change, effect on deliverables, revised schedule, and any change in fee. The Service Provider shall not proceed with changed work until a duly executed Change Order is in place, except as otherwise agreed in writing.

Governance, Reporting and Meetings

The Service Provider shall submit progress reports and attend project governance meetings as set out below. Reports shall include status of deliverables, schedule variance, risk register and a summary of expenditures to date.

Confidentiality

Each party shall keep confidential all information disclosed by the other party that is designated as confidential or that, by its nature, should reasonably be considered confidential. Confidential information shall be used only for the purposes of performing obligations under this TOR. Disclosure is permitted only to personnel who have a need to know and who are bound to maintain confidentiality.

Liability and Indemnification

Each party shall be liable for its negligent acts and omissions in performance of this TOR. The Service Provider shall indemnify and hold harmless the Client from claims, damages and liabilities resulting from the Service Provider's gross negligence or willful misconduct, subject to any limitations of liability agreed in writing between the parties.

Termination

Either party may terminate this TOR for material breach if the breach remains uncured for a period of thirty (30) days after written notice. On termination, the Service Provider shall deliver all work-in-progress and shall be paid for services performed and expenses reasonably incurred through the effective date of termination, subject to the Client's right to set off for incomplete or nonconforming work.

Governing Law

This TOR shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising under this TOR.

Notices

All notices required or permitted under this TOR shall be in writing and delivered to the addresses below by hand, registered mail, courier, or electronic transmission with confirmation.

Representations and Warranties

Each party represents that it has the full power and authority to enter into this TOR and to perform its obligations hereunder. The Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.
