Change Order Procedure

Any change to the scope, schedule or price must be documented in a written change order signed by both the Client and the Service Provider before the additional work commences. Emergency work required to prevent immediate damage must be documented and ratified by a change order promptly after performance.

Insurance, Warranty & Indemnity

The Service Provider shall maintain commercial general liability and workers' compensation insurance in amounts customary for the trade. The Service Provider warrants labor and materials for the period specified below. Each party shall indemnify the other for its own negligent acts or omissions.

Safety, Permits & Access

The Client shall provide reasonable access to the Site and obtain any necessary permits unless otherwise agreed. The Service Provider shall comply with all applicable safety laws and site rules.

Acceptance, Defects & Final Handover

Upon substantial completion, the Service Provider will notify the Client in writing. The Client shall inspect and either issue a written acceptance or a punch list of deficiencies within five (5) business days. Defects identified in the punch list shall be remedied by the Service Provider at no additional cost when such defects arise from the Service Provider's workmanship.

Confidentiality

Each party shall keep confidential all non-public information obtained from the other party in connection with this Proposal and the Work, and shall not disclose such information to third parties except as required by law or as necessary to perform the Work. Confidential information does not include information that is or becomes publicly available other than through breach of this obligation.

Governing Law & Dispute Resolution

This Proposal and any resulting contract shall be governed by the laws of the state specified below. The parties shall attempt in good faith to resolve disputes by negotiation; if negotiation fails, the parties agree to the dispute resolution process selected below.

Termination

Either party may terminate for cause if the other party materially breaches this Proposal and fails to cure within fourteen (14) calendar days after written notice. Upon termination for convenience by the Client, the Service Provider shall be entitled to payment for work performed and documented costs incurred plus reasonable demobilization expenses.

Miscellaneous Provisions

Entire Agreement: This Proposal constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior proposals and understandings. Amendments: No amendment will be effective unless in writing and signed by both parties.
