What the Project Management Tree Service Agreement Covers

A Project Management Tree Service Agreement is a written contract that documents responsibilities, scope, schedule, pricing, and risk allocation for tree care work managed as a project. It covers site access, permits, safety protocols, insurance, payment milestones, change-orders, and completion acceptance between a property owner and a tree services contractor.

Why a Clear Written Agreement Matters

Using a structured agreement reduces disputes, clarifies payment timing, assigns permit and insurance responsibilities, and provides a record for lien or warranty claims under state law.

Why a Clear Written Agreement Matters

Who Typically Uses This Agreement

Organizations and individuals use this agreement when tree work is substantial, multi-phased, or requires coordination with utilities, municipalities, or other contractors.

  • Tree service contractors and subcontractors managing crews, equipment, and disposal logistics.
  • Property owners, homeowners associations, and property managers overseeing risk and budgeting.
  • Municipalities, utilities, and development firms contracting for ROW maintenance or large removals.

Use this agreement when project oversight, permit obligations, or staged payments are needed to limit ambiguity and document acceptance criteria.

Who Signs and Why

Contractor — Owner

The company owner, operations manager, or authorized officer signs for the contractor. Their signature confirms contractor capacity, insurance status, and commitment to meet safety and permit responsibilities described in the agreement.

Client — Property Manager

A property owner, HOA president, or designated property manager signs for the client side. That signer accepts scope, payment schedule, site access terms, and warranty obligations and is responsible for internal approvals prior to execution.

Essential Clauses to Include

A complete agreement sets expectations across six core areas so both parties can measure performance and resolve disputes without ambiguity.

Parties

Identify full legal names and business entities for contractor and client, include contact information and signing authority to ensure enforceability and correct attribution.

Scope of Work

Precisely describe services (pruning, removal, stump grinding, debris removal), specify tree species or locations, and attach site maps or exhibits for clarity.

Compensation

State fixed price or unit rates, payment schedule, retainage, and conditions for change-order pricing including rates for emergency or unexpected removals.

Schedule and Milestones

List start and completion dates, permit dependencies, phased work windows, and liquidated damages or remedy steps for substantial delays.

Insurance and Indemnity

Specify required insurance limits, certificate of insurance delivery, indemnity scope, and who bears responsibility for utility damages or property claims.

Termination & Warranty

Define termination rights, cure periods, warranty length for work performed, post-completion cleanup standards, and dispute resolution procedures.

Step-by-Step: Completing the Agreement

Follow these steps to assemble a compliant, project-ready tree service agreement that reduces downstream friction.

  • 01
Gather documents: Collect ID, insurance certificates, permits, and site plans.
  • 02
Define scope: Describe trees, tasks, and acceptance criteria in detail.
  • 03
Agree payment: Set milestones, retainage, and invoicing frequency.
  • 04
Sign and retain: Execute signatures and store the signed copy securely.

Common Risks and Potential Consequences

Unclear scope: Cost overruns and disputes
Missing signatures: Agreement may be unenforceable
Incorrect dates: Statute of limitations issues
Invalid signer: Attribution and fraud challenges
Insurance gaps: Liability shifted to owner
Permit violations: Regulatory fines or stop-work orders

Frequent Preparation Mistakes to Avoid

  • Vague scope descriptions that omit tree locations or sizes often produce change-order disputes and invoicing disagreements during project execution.
  • Failing to require certificates of insurance up front can leave property owners exposed to liability if contractor coverage lapses or limits are insufficient.
  • Not documenting permit responsibilities and lead times causes project delays; obtain and record permit timelines before scheduling work.
  • Using informal email approvals without a signed addendum increases the risk of payment denial and complicates mechanic's lien timelines.

Key Dates and Timing Expectations

Track these dates in the agreement to synchronize permits, mobilization, and payment events across stakeholders.

Project start date:

Enter the agreed start date; coordinate permits 30–60 days prior.

Completion date:

Specify completion or phase deadlines and acceptance criteria.

Payment milestones:

Tie payments to completion milestones or percent complete.

Permit submission:

Submit permits early; jurisdiction review times vary widely.

Warranty period:

List warranty start and end dates and scope.
