What the Project Management Variation and Release Is

A Project Management Variation and Release is a written record that documents a proposed change to scope, schedule, or cost on an active project and confirms mutual agreement to the change and release of related claims. It combines a description of the variation, the approved cost or credit, revised delivery dates if any, and an explicit release clause stating the signatory accepts the adjustment in exchange for the stated consideration. The form creates an auditable paper or electronic trail for internal approvals, subcontractor payments, and client records, and is often used alongside purchase orders, change orders, and invoice adjustments.

Why a Variation and Release Matters to Project Teams

Using a Variation and Release reduces dispute risk, clarifies financial adjustments, and documents acceptance of scope changes in a legally defensible format under ESIGN and applicable state law.

Why a Variation and Release Matters to Project Teams

Who Typically Prepares and Signs This Document

Project stakeholders who manage scope, cost, and payment approvals commonly prepare or sign this document.

  • Project managers and program directors who control scope changes and schedule updates for delivery.
  • Contract administrators and procurement officers who approve budget adjustments and contract exhibits.
  • Subcontractors and suppliers who request payment adjustments or confirm acceptance of change directives.

Parties named in the contract and any delegated approvers must sign; signatures create the enforceable release and acceptance.

Step-by-Step: How to Complete and Approve a Variation and Release

Follow a consistent approval workflow to ensure legal effect and accounting accuracy.

  • 01
Prepare Draft: Document the change with supporting attachments and cost breakdowns.
  • 02
Internal Review: Obtain approvals from budget owner, project manager, and legal as required.
  • 03
Deliver to Counterparty: Send the draft to the other party for review and signature.
  • 04
Record and Archive: Save executed document with audit trail and update project records.

Typical Digital Workflow for Variation and Release

A standard electronic workflow reduces friction and preserves an audit trail for each step in the change lifecycle.

  • Upload Document: Add the draft variation as PDF/DOCX and attach supporting files.
  • Assign Fields: Place signature, date, and cost fields where needed.
  • Set Signers: Define signer order and add authentication requirements.
  • Send for Signature: Distribute via email link or embedded API for signing.

Configuration Checklist for Online Completion and Routing

Set up the workflow to match your internal approvals and external signing requirements.

Field Configuration
Signer Order Sequential or parallel routing depending on approval policy
Conditional Fields Show cost detail only when variation exceeds threshold
Authentication Email link, SMS code, or knowledge-based authentication
Notifications Configure reminders and completion receipts

Technical Requirements for eSubmission and Signing

Ensure your chosen platform supports the file types, integrations, and authentication you require before deployment.

  • File Formats: PDF, DOCX, and Excel supported
  • Integrations: Salesforce, NetSuite, Procore commonly used
  • Authentication: Email, SMS, KBA, or SSO

Confirm retention, audit trail, and HIPAA or 21 CFR Part 11 requirements for regulated documents before eSubmission.

Common Pitfalls to Avoid

  • Vague descriptions of work that lead to differing interpretations and disputes.
  • Failing to attach cost backup, causing delays in approval and payment processing.
  • Allowing non‑authorized personnel to sign, which may render the release unenforceable.
  • Mixing change acceptance with unrelated claims instead of using a clear release clause.

Consequences of an Incorrect or Missing Variation and Release

Payment Delay: Cashflow disruption
Contract Dispute: Litigation or arbitration risk
Tax Exposure: Incorrect reporting or deductions
Scope Creep: Unapproved additional work accepted
Invalid Release: Enforceability challenged
Audit Findings: Recordkeeping deficiencies

Typical Deadlines and Processing Expectations

Variation processing timelines should be defined in contract terms and followed consistently to avoid disagreements and payment delays.
