Confidentiality

Each party acknowledges that, in connection with performance under this Agreement, it may receive Confidential Information of the other party. Confidential Information shall be used solely for performance under this Agreement and shall not be disclosed except to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. The obligations of confidentiality survive termination for a period of three (3) years unless otherwise required by law.

Intellectual Property & Licensing

Unless otherwise agreed in writing, the Service Provider grants the Client a non-exclusive, non-transferable license to use deliverables for the Client's internal business purposes. Ownership of pre-existing tools, templates, processes, and Provider proprietary materials remains with the Service Provider. To alter ownership or grant broader rights, the parties must execute a written amendment.

Warranties; Liability; Termination

The Service Provider warrants that services will be provided with commercially reasonable skill and diligence. Any amendment to the Scope, Schedule, or Budget shall be made by written change order signed by authorized representatives of both parties. The Service Provider will not commence changed work until a signed change order has been executed and any required payment arrangements agreed.
