Acceptance Testing

Upon delivery of a Deliverable, the Client shall have business days to perform acceptance testing. If the Deliverable materially fails to meet the Acceptance Criteria, the Client will provide a written defect list and the Service Provider will remedy defects within a commercially reasonable period at no additional cost, provided such defects arise from failure to perform in accordance with the agreed Requirements.

Intellectual Property & Confidentiality

Ownership: Subject to full payment of all fees due under this Contract, the Service Provider assigns to the Client all right, title and interest in Deliverables that are custom-created for the Client. Service Provider retains ownership of pre-existing tools, libraries, and proprietary code; the Service Provider grants the Client a nonexclusive license to embedded pre-existing components sufficient to use the Deliverables.

Warranties, Liability & Indemnification

Warranties: The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, NO OTHER WARRANTIES ARE MADE, EXPRESS OR IMPLIED.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither Party's aggregate liability for claims arising out of or relating to this Contract shall exceed the total fees paid by the Client to the Service Provider under this Contract for the applicable Deliverable.

Termination

Either Party may terminate this Contract for convenience upon days' prior written notice. Upon termination for convenience the Client will pay for all work performed through the effective date of termination and any non-cancellable commitments. Termination for material breach may occur immediately if the breaching Party fails to cure within 30 days of written notice of breach.

Force Majeure

Neither Party will be liable for delay or failure to perform caused by events beyond reasonable control, including acts of God, government action, strikes, epidemics, or major infrastructure failures. Affected Party shall notify the other promptly and use commercially reasonable efforts to resume performance.

Governing Law & Dispute Resolution

This Contract shall be governed by the laws of the state of without regard to conflict of laws principles. The Parties will attempt to resolve disputes in good faith by negotiation. If unresolved within 30 days, disputes will be resolved by binding arbitration before a neutral arbitrator in the agreed venue.
