What a Project Management Website Build Agreement Covers

A Project Management Website Build Agreement is a written contract that defines the relationship between a client and a developer or agency building a website. It sets the scope of work, deliverables, milestones, acceptance criteria, payment schedule, intellectual property ownership, warranties, and dispute-resolution procedures. The agreement also addresses change-order processes, roles and responsibilities, test and launch requirements, and any maintenance or support obligations after final delivery. Properly drafted, it reduces ambiguity and provides objective criteria for acceptance, invoicing, and legal enforcement across jurisdictions.

Why this Agreement Matters for Your Project

A clear agreement aligns expectations, limits scope creep, and defines payment tied to milestones. It reduces disputes by documenting acceptance tests, assigns IP and licensing rights, and creates an auditable record suitable for e-signature under U.S. laws such as ESIGN and UETA.

Why this Agreement Matters for Your Project

Typical Parties and Roles Using This Agreement

The agreement is used by a range of stakeholders involved in commissioning, building, and approving websites.

  • Clients and product owners who need to document scope, timelines, and payment terms for vendor accountability.
  • Web development agencies and freelance developers who require clear acceptance criteria, IP assignment, and payment milestones.
  • Legal, procurement, and finance teams who review contract terms, approval workflows, and tax or invoicing requirements.

Use this agreement to align technical, commercial, and legal teams before work begins and to create a single authoritative project record.

Core Components to Include in a Professional Agreement

A complete agreement breaks the project into enforceable parts so progress, payment, and acceptance are measurable and verifiable.

Scope of Work

Define specific pages, features, integrations, and accepted technologies. Refer to exhibits for wireframes, assets, and third-party services to avoid ambiguity during implementation and testing.

Deliverables & Acceptance

List deliverables with formats and acceptance tests. Specify review cycles, bug thresholds, and the timeframe for client review before final acceptance and sign-off.

Payment Terms

State milestone-based payments, invoicing schedule, late payment interest, and conditions for withholding payment due to nonconforming deliverables.

Schedule & Milestones

Include target dates, dependencies, critical-path milestones, and consequences for missed dates such as revised timelines or liquidated damages if agreed.

Change Orders

Describe the procedure for changes in scope, pricing adjustments, approval authority, and how additional work will be estimated and billed.

IP & Licensing

Specify ownership of source code, assets, and third-party licenses. Address transfer of rights, moral rights waivers, and any post-delivery license conditions.

Essential Data Fields to Record in the Agreement

Party Names: Full legal names
Contact Information: Email and phone
Project Identifier: Domain or project code
Payment Summary: Amounts and due terms

  • 01
Prepare SOW: Attach a detailed scope exhibit and asset list.
  • 02
Populate Contract: Enter party data, milestone dates, and payment terms.
  • 03
Review and Approve: Legal and finance review changes and confirm budgets.
  • 04

  • Upload Master: Store the executed PDF in contract repository.
  • Send to Stakeholders: Distribute copies to finance, legal, and PM.
  • Attach to Project: Link the agreement to the project management tool.
  • Archive Audit Trail: Keep signatures, IP log, and change history.

  • Integrations: Salesforce, NetSuite, Google Workspace supported
  • File Formats: PDF and DOCX compatibility
  • Authentication: Email link, SMS, or advanced methods

Confirm the provider supports audit trails, exportable certificates, and any industry addenda such as a BAA for healthcare workflows.

Typical Deadlines and Timing Expectations

Define concrete deadlines in the agreement to align deliverables, review windows, payment, and recordkeeping.

Effective Date:

Agreement begins on the stated MM/DD/YYYY.

Project Start:

Begin within X business days after first payment.

Milestone Reviews:

Client has 10 business days to review deliverables.

Acceptance Period:

Acceptance occurs after passing tests or after 10 days without objection.

Invoice Due:

Payment due Net 30 unless otherwise stated.

Common Mistakes to Avoid When Drafting or Completing the Agreement

  • Vague scope language that omits specific pages, features, or integration endpoints leads to disputes and extra billing.
  • Missing acceptance criteria or absent test scripts allows subjective approval and delays final payment.
  • Unclear IP clauses that do not specify code ownership or licensing can result in post-launch ownership disputes.
  • Not specifying change-order authorization leads to unmanaged scope creep and conflicting client expectations.

Risks and Consequences of an Incomplete or Incorrect Agreement

Missed Deliverables: Delayed payment or termination
Payment Disputes: Collection costs and interrupted work
IP Ambiguity: Ownership litigation risk
ESIGN Noncompliance: Signature unenforceable
Incorrect Signer: Defective execution
Tax Consequences: Incorrect 1099 reporting
