Scope of Work

The Service Provider shall perform the services described below, consisting of project management, design, development, testing and deployment of the website and related deliverables. The scope is limited to the work expressly described and any change will be subject to the Change Order process set forth herein.

Deliverables & Acceptance

Deliverables shall be delivered as set out below. Acceptance shall occur only after Client testing in accordance with the Acceptance Procedure.

Timeline & Milestones

Milestones below represent target completion points. Dates are estimates and adjustments must follow the Change Order process.

Budget & Payment

Client agrees to pay the Service Provider in accordance with the schedule below. All amounts are payable in lawful currency. Unless otherwise agreed in writing, invoices are due within thirty (30) days of invoice date.

Change Order Process

Any modification to scope, schedule or price shall be effected only by a written Change Order executed by authorized representatives of both parties. A Change Order shall describe the change, the impact on schedule, and any adjustment to compensation. Work performed outside of an executed Change Order may be invoiced at prevailing rates.

Acknowledgement:

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is marked confidential or reasonably should be understood to be confidential. Confidential information does not include information that is (a) known prior to disclosure, (b) becomes public without breach, (c) received from a third party without restriction, or (d) independently developed.

Confidentiality Term: Confidential obligations survive termination for a period of three (3) years, except for trade secrets which remain protected for as long as they qualify as trade secret.

Intellectual Property

Unless otherwise agreed in writing, upon receipt of full payment for Services and Deliverables, the Service Provider assigns to Client all right, title, and interest in and to the Deliverables specifically created for Client. Service Provider retains ownership of pre-existing materials, tools, libraries and general know-how, and grants Client a perpetual, non-exclusive license to any such pre-existing materials embodied in the Deliverables to the extent necessary to use the Deliverables as intended.

Warranties, Acceptance Testing & Liability

Service Provider warrants that Deliverables will materially conform to the Acceptance Criteria for a period of thirty (30) days following final acceptance. Remedy will be limited to correction of non-conforming Deliverables at no additional charge. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability: Except for claims arising from willful misconduct or breach of confidentiality, each party's aggregate liability to the other shall not exceed the total fees paid under this Agreement.

Maintenance & Support

Maintenance and support are not included unless specified in a separate statement of work. Ongoing support may be provided under a separate agreement or monthly maintenance plan, which will set forth response times and fees.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within thirty (30) days following written notice. Upon termination, Client shall pay for all work performed through the termination date, including any non-cancellable third-party costs.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. The parties will first attempt to resolve disputes in good faith prior to pursuing formal remedies.

Entire Agreement: This Agreement, together with any referenced statements of work and executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter. Any amendment must be in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
