The Service Provider shall design, develop, test and deliver a website as described in the deliverables below. The scope specifically includes project management, requirements gathering, design mockups, front-end development, back-end development, integration with agreed systems, content migration up to the agreed volume, and deployment to the specified hosting environment. All work performed under this scope shall conform to the acceptance criteria set forth for each deliverable.

Deliverables and Acceptance Criteria

Each deliverable below must be completed in accordance with the acceptance criteria. Final acceptance occurs only after completion of acceptance tests and written sign-off by the Client or designated approver.

Budget and Payment

Fees for the Project are set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Confidentiality

The parties acknowledge that in performing the services each may receive confidential information of the other. Each party agrees to hold such information in strict confidence, to use it only for performance of this Scope, and not to disclose it to third parties except as required by law. Confidential information excludes information that is or becomes publicly known through no breach of this clause, or is independently developed without use of the other party's confidential information.

Intellectual Property and Deliverables

Upon full payment of all fees due for the applicable deliverable, the Service Provider assigns to the Client all right, title and interest in and to the final deliverables, excluding pre-existing provider tools, libraries, and components. Provider retains a non-exclusive royalty-free license to reuse non-confidential general-purpose code and methodologies. Provider will deliver source files, documentation, and credentials as specified in the deliverable description.

Warranties, Liability, and Termination

The Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Except for the express warranty set forth in this paragraph, services and deliverables are provided "AS IS" and the Provider disclaims all other warranties. The total liability of the Provider for any claim arising under or relating to this Scope shall not exceed the total fees paid by the Client for the applicable services. Either party may terminate for material breach if the other party fails to cure within thirty (30) days of written notice.

Acceptance, Handover, and Support

Acceptance testing will be performed according to the acceptance criteria for each deliverable. Client will have a defined review period of days after delivery to report defects. Upon written acceptance, Provider will hand over deliverables and provide the agreed post-launch support included in the fees for a period of days.

Governing Law

This Scope shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles, and the parties submit to the exclusive jurisdiction of competent courts in that state for disputes arising out of this Scope.
